Acceptable Use Policy
Who this applies to
This Acceptable Use Policy applies to every administrator and end user authorised to access the Veridue platform (the "Services"), including counterparties and advisers invited into a data room. Each is individually bound by it as a condition of access. It forms part of the Platform Terms of Use.
You acknowledge that
• Output is generated using AI. Because AI is probabilistic, Output may be incomplete or inaccurate and may not correctly reflect the documents, projects, people or facts it describes. Output is a draft. It must be reviewed and verified by a suitably qualified person before it is relied on, and you must exercise your own professional judgement.
• Veridue is not a law firm, does not practise law, and does not provide legal advice. Nor does it provide financial, technical or investment advice. Output is not a substitute for advice from qualified counsel or advisers, and customers should continue to engage counsel for bankable due diligence and transaction documentation.
• Where the Services perform tasks on your behalf, you configure those permissions and remain responsible for the actions taken and for reviewing the results.
• Where you create comments, corrections, gradings, reasons or other material within the Services, you confirm you have the necessary permissions to submit it, and you authorise Veridue to host, process, store and display it to provide the Services. Veridue’s use of that material is subject to the applicable Platform Terms, including the restrictions applying to Restricted Content.
You are responsible for
• Keeping your access credentials secure and confidential, and not disclosing them to anyone else.
• Notifying Veridue promptly at security@veridue.ai if you suspect or become aware of unauthorised access to the Services or any compromise of credentials.
• Holding the rights necessary to upload each document, including under any confidentiality obligation you owe to a third party.
• Using the Services only in connection with transactions you are authorised to evaluate or work on.
You agree not to, and not to permit any administrator, user or third party to
• Use the Services in a way that infringes or misappropriates any person’s rights, including privacy, confidentiality and intellectual property rights.
• Upload unlawful material or material you are barred from disclosing. Do not upload special category personal data or criminal offence data unless it is necessary for an authorised due diligence or transaction purpose, you are legally permitted to provide it, and you apply appropriate access restrictions. You must not upload genetic data, biometric data used for identification, or payment card data.
• Sub-license, sell or otherwise transfer your right to access the Services, or share accounts, other than by inviting users through the invitation features Veridue provides within the Services.
• Reverse engineer or attempt to derive the source code of the Services, except as applicable law permits.
• Modify, translate, or create derivative works of the Services.• Use any automated method to extract data or Output from the Services, including scraping or harvesting, other than methods Veridue provides.
• Use your access, or any Output, to build or train a competing product, service or model.
• Circumvent or attempt to circumvent any security measure or access control, including controls separating customers, buyers, sellers, counterparties and their advisers.
• Interfere with the proper working of the Services, or introduce any virus or malware into Veridue’s systems.
• Use Output for decisions affecting individuals without meaningful human oversight and review, including any high-risk application as defined under the EU AI Act.
Fair use
Where the Order Form describes any element of the Services as unlimited, or states no numeric limit, use must remain consistent with normal business use for transactions the Customer is actively pursuing. Use falls outside fair use where it: (a) materially exceeds the typical usage of customers on comparable terms; (b) consists of processing of historical or inactive projects rather than live transactions; (c) involves repeatedly re-running the same analysis beyond what is reasonably required to reflect new documents or information; or (d) materially degrades the Services for other customers.
Where Veridue considers use falls outside fair use, it will notify the Customer with supporting usage data, and the parties will discuss in good faith. Veridue may offer additional capacity at its then-current rates. Failing agreement, Veridue may apply reasonable rate limits or decline further requests of the type concerned, and may terminate the affected Services on 30 days’ notice. Veridue may act immediately, giving notice as soon as practicable, where use threatens the security, integrity or availability of the Services or another customer’s data.
Consequences
Veridue may suspend access for breach of this Policy, with notice and an opportunity to cure where practicable, and immediately where necessary to protect the Services or another customer’s data.
